This License is a source-available license. Production use of the Licensed Work requires a separate production or government-use license from Licensor.
Acceptance
By exercising any right under §2 or otherwise using the Licensed Work, You accept and agree to this License.
§1. Definitions
1.1 "Licensor" means the entity identified in the Parameters block.
1.2 "Licensed Work" means the software or other work identified in the Parameters block, including all source code, object code, and accompanying materials made available by Licensor under this License.
1.3 "You" means any natural or legal person exercising rights under this License.
1.4 "Production Use" means any use of the Licensed Work that satisfies any of the following criteria:
- (a) External Service. Providing functionality, data, or services derived from the Licensed Work to any party other than Your employees, contractors, or agents acting in that capacity.
- (b) Business Operations. Use of the Licensed Work in operational systems, workflows, or processes on which Your business relies, excluding development, testing, and quality-assurance environments described in §1.5.
- (c) Revenue Generation. Use in any system that directly or indirectly generates revenue, whether through subscription, transaction, advertising, licensing, or any other commercial mechanism.
- (d) Persistent Deployment. Operation in any environment configured for continuous availability, including environments with uptime guarantees, monitoring, alerting, backup, disaster recovery, or other operational guarantees characteristic of live systems.
- (e) Education. Use of the Licensed Work in academic instruction, coursework, training programs, certification programs, or any other educational setting.
- (f) Research. Use of the Licensed Work in research activities, including academic, scientific, commercial, or industrial research.
- (g) Personal Use. Use of the Licensed Work by a natural person for personal, hobby, or non-commercial purposes.
- (h) AI System Input or Training. Use of the Licensed Work, including its source code, documentation, behavior, output, or any representation thereof, as training data, fine-tuning input, retrieval context, retrieval-augmented generation source, prompt context, or other input to any artificial intelligence, machine learning, generative, large language, or similar model system, or as a target for automated behavioral analysis or reimplementation by such a system.
1.5 "Non-Production Use" means any use of the Licensed Work that is not Production Use. Without limitation, Non-Production Use includes:
- (a) Development. Use during the design, coding, debugging, or unit testing of software.
- (b) Testing and Quality Assurance. Use in environments dedicated to integration testing, performance testing, security testing, or pre-release validation.
- (c) Evaluation. Use for the purpose of determining whether to acquire a production or government-use license, limited to seventy-two (72) months from first use by You.
1.6 Where a single deployment of the Licensed Work satisfies both a criterion in §1.4 and a criterion in §1.5, the §1.4 criterion controls and the deployment constitutes Production Use.
1.7 "Derivative Work" has the meaning given by applicable copyright law.
§2. Grant of Rights
Subject to the conditions in §4, Licensor grants You a worldwide, royalty-free, non-exclusive, non-sublicensable license, for Non-Production Use only, to:
- (a) copy the Licensed Work;
- (b) modify the Licensed Work and create Derivative Works;
- (c) redistribute the Licensed Work and Derivative Works, provided each recipient receives this License with the work;
- (d) use the Licensed Work.
No right is granted under this License to incorporate, embed, link (whether statically or dynamically), bundle, or otherwise combine the Licensed Work with any other software or work, where the resulting combined work is distributed, deployed, or otherwise made available to any party other than You. For purposes of this restriction, configuring the Licensed Work to provide functionality, data, or services to other software or systems through any network protocol, application programming interface, remote procedure call, message queue, or other inter-process or inter-system communication mechanism is treated as combination of the Licensed Work with the consuming software or system. For purposes of this restriction, "made available" refers to the Licensed Work itself or any work that incorporates the Licensed Work's source code. The Licensed Work may be used, copied, modified, and redistributed only as a standalone work.
No right is granted under this License to use the Licensed Work, in whole or in part, as input to, training data for, fine-tuning material for, retrieval source for, or context for the operation of any artificial intelligence, machine learning, generative, or large language model system; nor to use any such system to generate any work that reimplements, paraphrases, mimics, or is derived from the Licensed Work. Any such use requires a separate production or government-use license from Licensor.
Any Production Use of the Licensed Work — including any copying, modification, creation of Derivative Works, redistribution, or other exercise of the rights in (a) through (d) in connection with Production Use — requires a separate production or government-use license from Licensor.
All rights not expressly granted by this License are reserved by Licensor.
§3. Patent Grant
3.1 Licensor grants You a worldwide, royalty-free, non-exclusive license under patent claims owned or controlled by Licensor that are necessarily infringed by the Licensed Work, to make, use, sell, offer for sale, import, and otherwise transfer the Licensed Work, subject to the same scope limitations as §2.
3.2 If You initiate patent litigation against any party (including a cross-claim or counterclaim in a lawsuit) alleging that the Licensed Work or any contribution incorporated within the Licensed Work constitutes direct or contributory patent infringement, all rights granted to You under this License terminate as of the date such litigation is filed.
§4. Conditions
4.1 You must retain all copyright, patent, trademark, and attribution notices contained in the Licensed Work.
4.2 You must include a copy of this License with each distribution of the Licensed Work or any Derivative Work, and conspicuously identify any modifications You have made.
4.3 This License does not grant rights in any trademark, service mark, trade name, or logo of Licensor, except as required for compliance with §4.1.
§5. Termination
If You breach this License, all rights granted under §2 and §3 terminate automatically. If the breach is curable, those rights are reinstated upon cure within thirty (30) days after Licensor provides written notice of the breach.
5.1 Notice. Written notice under this Section is effective when (a) delivered personally; (b) sent by email to an email address You have provided to Licensor, or to an email address publicly associated with You; (c) sent by certified mail or recognized courier to Your last known business address or registered agent; or (d) where Licensor does not know Your identity or contact information, posted publicly at a designated notice URL maintained by Licensor. The cure period in §5 begins on the date of effective delivery under this Section.
§6. Disclaimers
6.1 THE LICENSED WORK IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
6.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF THIS LICENSE OR THE USE OF THE LICENSED WORK, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.
§7. Government Use
7.1 Use of the Licensed Work by or on behalf of any government, governmental agency, or public-sector entity constitutes Production Use under §1.4 and requires a separately negotiated government-use license from Licensor structured to comply with applicable government procurement regulations.
7.2 The terms of any separately executed government-use license shall control over this License with respect to such government use. To the extent any provision of this License is unenforceable against a government licensee by reason of sovereign immunity or applicable procurement law, that provision shall be deemed modified to the minimum extent necessary to be enforceable, and the remaining provisions shall continue in full force.
§8. Severability
If any provision of this License is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be reformed only to the extent necessary to make it enforceable.
§9. General Provisions
9.1 Governing Law. This License is governed by the laws of the State of Wyoming, excluding its conflict-of-laws principles. United States of America federal copyright and patent law governs the grant of rights and any infringement claims, regardless of this choice.
9.2 Venue. Any action arising out of or relating to this License shall be brought in the state or federal courts located in Wyoming, and the parties consent to the personal jurisdiction of such courts.
9.3 Conflict with Mandatory Law. Where mandatory law of the licensee's jurisdiction or applicable government procurement law conflicts with this License, this License is modified to the minimum extent necessary to comply with such mandatory law, and the remaining provisions continue in full force. This provision applies in addition to §7.2 (government licensees) and §8 Severability.
9.4 Version. Your use of the Licensed Work is governed by the version of this License that You accepted upon first use. Future versions of this License do not apply retroactively. If Licensor releases a subsequent version of the Licensed Work under a later version of this License, that later License version governs use of the subsequent version of the Licensed Work; Your continued use of the prior version of the Licensed Work remains governed by the License version You accepted.
9.5 Assignment. You may transfer Your rights and obligations under this License to a successor in interest pursuant to a merger, consolidation, or sale of substantially all of Your assets, provided that the successor agrees in writing to be bound by this License. Any other purported assignment or transfer of rights under this License is void without Licensor's prior written consent.
9.6 Survival. The following provisions survive termination of this License: §3.2 (Patent Litigation), §6 (Disclaimers), §7 (Government Use), §8 (Severability), §9 (General Provisions), and §10 (Entire Agreement).
9.7 AI Non-Consent. Licensor expressly does not consent to the use of the Licensed Work as input to or training data for any artificial intelligence, machine learning, generative, or large language model system, under any text and data mining exception, fair use doctrine, or similar provision of applicable law. This non-consent is asserted as a matter of record under Article 4(3) of EU Directive 2019/790 (DSM Directive) and analogous provisions in other jurisdictions.
§10. Entire Agreement
This License, including the Parameters block, constitutes the entire agreement between Licensor and You concerning the Licensed Work.
